Terms and Conditions of Sale and Delivery

Terms and conditions of sale and delivery applicable to all transactions between the customer and Scoobic Urban Mobility.

1. Scope

a. These terms of sale and delivery apply to the ordinary purchase of goods directly from SCOOBIC URBAN MOBILITY SL and to the purchase of goods in the online store of SCOOBIC URBAN MOBILITY SL.

2. Prices and payment terms

a. Item prices and volume discounts are displayed in the online store.

If an item does not show the price or volume discount, the information can be obtained upon request.

b. For grouped orders with delivery at several different times, prices, volume discounts and freight are calculated on a per-delivery basis rather than for the entire order.

Open orders not yet delivered or delivered orders may only be changed with the written consent of SCOOBIC URBAN MOBILITY SL. If changes are made to the quantities ordered in open or delivered orders, the discount will also be modified; for this reason the unit price will always reflect the updated price list and invoices will be issued accordingly.

c. Minimum billing value:

In our online store, the minimum invoice value for items does not include shipping costs and VAT. The applicable minimum invoice value for the online store will appear before an order is approved. For telephone orders/orders by e-mail/orders by regular mail/orders by fax/visits and so on, the minimum invoice value for items excluding transport costs is € XX.00 excluding VAT.

d. Prices do not include VAT and shipping costs.

e. The payment period shall be XX days from the date of invoice unless otherwise agreed.

f. Payment can be made by credit card in the web store, or by bank transfer to:

g. After the maturity date, interest of 1.5% per month started will be added.

3. Reservation of ownership

a. SCOOBIC URBAN MOBILITY SL retains full ownership of the delivered items until full payment has been made for them, including any interest that may have been incurred. SCOOBIC URBAN MOBILITY SL's ownership rights apply to all items.

4. Limitations of liability

a. Any offer for sale is subject to prior sale and no liability will be accepted for items temporarily out of stock, printing errors, technical failures in connection with the use of SCOOBIC URBAN MOBILITY SL's website, inadequate processing of orders as a result thereof, etc. SCOOBIC URBAN MOBILITY SL shall not be liable for any such circumstances.

b. The technical values provided in the catalog and on the SCOOBIC URBAN MOBILITY SL website concerning, for example, dimensions, travel, stroke lengths and forces are average values and should only be used as a guideline. SCOOBIC URBAN MOBILITY SL shall not be liable for any deviations from these average values. The text and technical information provided on the website is changed on a regular basis and may therefore vary from the information previously provided in, for example, the catalog.

c. In the event of actual defects or damage to the product, SCOOBIC URBAN MOBILITY SL will only be liable if it can be proven that the defect or damage is due to error or negligence on the part of SCOOBIC URBAN MOBILITY SL. Unless otherwise provided for in unalterable principles of legality, SCOOBIC URBAN MOBILITY SL shall not be liable for loss of profits, loss of time, loss of margins or other indirect losses suffered as a result of the aforementioned product deficiencies and damages.

d. SCOOBIC URBAN MOBILITY SL's liability for damages may reach a total amount not exceeding the invoice amount of the delivery in question.

e. SCOOBIC URBAN MOBILITY SL shall not be liable for damages resulting from overloading of delivered items, improper use of the items or any acid embrittlement resulting from electrolytic surface treatment.

f. SCOOBIC URBAN MOBILITY SL will also be free from liability in the event of a force majeure event.

g. SCOOBIC URBAN MOBILITY SL will be pleased to provide advice and help with calculations. Should special demands be made of an item or its use, this must be specified in writing at the latest at the time of placing the order. SCOOBIC URBAN MOBILITY SL can never be held responsible for advice and calculations, as SCOOBIC URBAN MOBILITY SL cannot be considered to be familiar with assemblies, installation, weights, etc.

The customer shall be solely responsible for the ordering and use of the purchased items. It shall always be the customer's responsibility to perform a proper quality control of all delivered products immediately upon receipt and before storing, placing, assigning or otherwise using the items.

h. SCOOBIC URBAN MOBILITY SL may only be liable for products when required to do so by applicable law, including Danish product liability law.

5. Delivery, including oversupply and undersupply.

a. In transactions involving custom springs, SCOOBIC URBAN MOBILITY SL reserves the right to over-supply or under-supply up to 10% of the quantity ordered.

b. Oversupply and undersupply will be matched by a corresponding adjustment to the invoice amount.

c. Everything is furnished EXW, EX Works, unless otherwise agreed in writing.

6. Complaints

a. Any complaints regarding defects must be made in writing within 8 days of delivery. The right of complaint covers faults and defects of the products that already existed at the time of delivery.

b. With the exception of the above, SCOOBIC URBAN MOBILITY SL accepts no liability for defects, and therefore the customer may not claim any restitution for breach of contract other than that indicated above. Therefore, SCOOBIC URBAN MOBILITY SL shall not be liable in any case for products that have suffered damage during placement, use, loading, general use or due to their environment, if such circumstances affect the usefulness and durability of the products. Since such effects are not under the control of SCOOBIC URBAN MOBILITY SL, it is not possible to guarantee the quality and properties of the product, except as described above in the right to claim.

7. Return of items

a. SCOOBIC URBAN MOBILITY SL will not accept returned items without specific prior agreement. In connection with such agreement, SCOOBIC URBAN MOBILITY SL will provide the customer with a return number. This return number must be included on the packaging or accompanying documentation when the goods are returned. A return agreement expires 1 week after the date on which the agreement was concluded. If the packaging or enclosed documentation has no return number, the returned item may be refused, and no credit note will be issued. The customer pays the costs associated with the return. Items must be returned in sturdy and suitable packaging. If the items are damaged due to poor or inadequate packaging, the customer assumes full responsibility. If the packaging seal is broken, the items cannot be returned.

b. Due to costs associated with quality control, etc., only a maximum of 50% of the invoice amount will be credited when items are returned.

8. Applicable Law and Jurisdiction

a. Any dispute between the customer and SCOOBIC URBAN MOBILITY SL shall be resolved in accordance with the provisions of Danish law, with the exception of the rules regarding the choice of law, which could result in the resolution of a dispute being transferred to another country and its law. The place of jurisdiction shall be the courts of Seville (Spain).
